Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Deal Warden platform operated by Flaresoft Solutions Inc. ("we," "us," or "our"). By creating an account or using the Service, you agree to these Terms.

1. Acceptance of Terms

By accessing or using Deal Warden, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use the Service. We reserve the right to modify these Terms at any time, and your continued use constitutes acceptance of any changes.

2. Description of Services

Deal Warden provides buyer-side protection for vehicle purchases. Our services include:

  • Deal Builder — A shopping workspace where you organize research, compare options, track trade-ins, and manage documents related to a potential vehicle purchase.
  • Behind the Scenes ($500) — A dedicated Warden advises you via phone, email, text, or video. You handle communication with the dealer directly.
  • Full Representation ($1,200) — A Warden contacts the dealer on your behalf, negotiates pricing and terms, reviews business office items, and delivers a Deal Report.

Additional add-on services (Credit Check, Trade-In valuations, At The Lot) are available at published prices and subject to these Terms.

3. User Accounts

To use the Service, you must create an account and provide accurate, complete information. You are responsible for:

  • Maintaining the security of your account credentials
  • All activity that occurs under your account, whether or not authorized by you
  • Notifying us immediately at hello@dealwarden.ca if you suspect unauthorized access

You must be at least 18 years of age to create an account and use the Service.

4. Fees and Payment

All fees are listed in Canadian dollars (CAD) and are due at the time of purchase. Payments are processed securely through Stripe. By submitting payment, you authorize us to charge the applicable fees.

  • Deal Builder credits: The $30 Deal Builder fee is credited toward any Warden service purchased for the same deal.
  • Refunds: If a Warden service has not yet commenced, you may request a full refund within 48 hours of purchase. Once a Warden has begun work on your deal, refunds are issued at our discretion.
  • Taxes: Prices do not include applicable taxes (GST), which will be added at checkout.

5. Warden Services

Wardens are trained representatives who act on your behalf during vehicle purchases. Important disclaimers:

  • Wardens are not licensed lawyers, financial advisors, or insurance agents.
  • Warden advice and analysis do not constitute legal, financial, or insurance advice.
  • Final purchasing decisions remain solely with you. We do not guarantee specific outcomes, savings, or results.
  • Wardens are compensated based on customer satisfaction, not dealer commissions. They have no financial relationship with any dealership.

6. Intellectual Property

All content, features, and functionality of the Service — including text, graphics, logos, software, and the Deal Warden brand — are owned by Flaresoft Solutions Inc. and protected by Canadian and international copyright, trademark, and intellectual property laws.

You may not reproduce, distribute, modify, or create derivative works from any part of the Service without our prior written consent.

7. User Conduct

You agree not to:

  • Use the Service for any unlawful purpose or in violation of these Terms
  • Provide false or misleading information in your account or Deal Builder
  • Attempt to gain unauthorized access to other users' accounts or our systems
  • Interfere with or disrupt the integrity or performance of the Service
  • Scrape, crawl, or use automated means to access the Service without our written permission
  • Harass, threaten, or abuse any Warden, staff member, or other user

8. Limitation of Liability

To the maximum extent permitted by law, Flaresoft Solutions Inc. and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.

Our total aggregate liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

9. Dispute Resolution

These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein. Any disputes arising from these Terms or your use of the Service shall be resolved in the courts of Alberta, located in Calgary.

Before initiating formal proceedings, you agree to attempt resolution through good-faith negotiation by contacting us at legal@dealwarden.ca.

10. Termination

We may suspend or terminate your account at our sole discretion if you violate these Terms or engage in conduct that we determine is harmful to the Service, other users, or our reputation.

You may close your account at any time by contacting us at hello@dealwarden.ca. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including limitation of liability and dispute resolution) will remain in effect.

11. Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by email or through a prominent notice on the Service at least 30 days before the changes take effect. Your continued use after the effective date constitutes acceptance.
